 Legislative framework and general rules.

Direct acquisition of real estate in Bulgaria by a foreign company.

  *  In Bulgaria foreign companies can acquire any type of buildings, premises within a building and limited property rights (e.g., construction right, right of use), but not land or house with land.

Indirect acquisition of real estate in Bulgaria by a foreign company

  *   Indirectly, foreign companies can acquire any type real estate, including land, by registering a Bulgarian company to act    as acquirer. It is possible by such company to be 100% owned by the foreigner investor.

 *  The OOD or LTD Company is the most widely used among investors because of the minimum capital requirements, the simplicity of the corporate governance system and the less administrative procedures for its operation.

 *  To open a LTD Company with the help of Imoti Bulgarian Properties and their Solicitor you will need to as follows:

       1.      You will need to provide us with copy of the passports of the individual/s passports.

2.      We will need exact address of the individual/s.

3.      You will need to choose a name of the company.

4.      You will need to choose what business activities the company would have. Your company will not be active, but for the administration we need to know if you are planning to do a recreational tourism, importing or exporting goods from the country, etc.

5.      All the documents will be prepared by the Solicitor in Bulgaria and send back to you in order for them to be legalized in Bulgarian Embassy in Dublin.

6.      In the process of registering a Ltd. Company you will need to send to your Bulgarian bank account € 2500 or 5000 Bulgarian levs, which is the share capital of the company. This amount will be divided into shares not less than 10 levs each.

7.      After the company is registered the share capital is returned back to the owners of the same or offset against the purchasing price of the house or land.

8.      The Solicitor will charge for the professional services provided € 750.

9.      The process will take between 10 and 20 working days.
